Join us for our March meeting as we host Matthew Sferrazza, a corporate and securities attorney from G&B Law LLP, who specializes in start-up clients, venture financing and crowd funding. Matthew will be providing insight on the common pitfalls of early stage companies, and tips on how to avoid them!

Mr. Sferrazza advises a variety of clients that range from new startups to established public companies. He has drafted complex disclosures for filings required by the SEC under the Securities Exchange Act of 1934 and Securities Act of 1933, such as registration statements, annual reports, quarterly reports, current reports, and proxy statements. Mr. Sferrazza also has significant corporate governance experience. He has advised clients facing hostile takeover, facilitated internal investigations, and drafted related governance documents (e.g. committee charters, disclosure policies, etc.). His transactional experience ranges from transactions involving public companies, such as mergers, IPOs, acquisitions, and large mineral leases, to those for private and startup clients, such as private placements, venture financing, and crowd funding.

Mr. Sferrazza was first immersed in securities law full time through the SEC’s Law Student Honors Program for the Division of Enforcement at the New York Regional Office. He was assigned to the Asset Management Unit, which prosecutes funds, investment advisers, and their principals under the Investment Company and Advisors Acts of 1940, the Exchange Act, and the Securities Act. Prior to that, Mr. Sferrazza was an attorney intern for the U.S. Solicitor of Labor in Boston.

Mr. Sferrazza earned his J.D. from Boston University in 2013, where he represented his law school in moot court competitions and was president of the Latin American Law Students Association. During law school, he was a judicial intern for the Honorable Justice Visitacion-Lewis of the New York State Supreme Court. Before attending law school, Mr. Sferrazza was a Teach for America Corps Member teaching 6th grade math and English in the Crenshaw district of Los Angeles. Mr. Sferrazza earned his B.A. in 2007 and his M.Ed. in 2010, both from UCLA.

Doors open at 11:30AM for networking and lunch. Our formal meeting will begin promptly at noon.
